NOMON株式会社(以下「当社」といいます)は、当社が運営する「NOMON SHOP」の利用について、 この利用規約（以下「本規約」といいます）を定め、これに基づいて、利用者にサービス・商品または機能（以下、総称して「本サービス」といいます）を提供いたします。
利用者は本サービスを利用する前に、本規約を注意深く読み、同意してください。
利用者は、会員登録時の利用規約のボックスにチェックを入れることで、本規約に同意することになります。

なお、利用者の個人情報等の取扱いについては、個人情報保護方針に規定しております。

第1条（定義）

本規約においては、次の各号記載の用語はそれぞれ次の意味で使用します。

• (1)

  「NOMON SHOP」とは、本サービスの提供およびその情報掲載を行う、当社が本規約に基づいてインターネット上で運営するサイトをいいます。

• (2)

  「利用者」とは、本サービスを利用する者をいいます。

• (3)

  「本サービス」とは、当社が本規約に基づき利用者に対し、提供するサービスをいいます。

第２条（規約の範囲および変更）

  本規約は、本サービスの利用に関し、当社および利用者の間に適用されるものとし、利用者はNOMON SHOPを利用するにあたり、本規約を誠実に遵守するものとします。

• 2

  当社が別途NOMON SHOP上における掲示またはその他の方法により規定する個別規定は、本規約の一部を構成します。本規約と個別規定が異なる場合には、個別規定が優先するものとします。

• 3

  当社は以下の場合に、利用者の承諾なく、当社の独自の判断により、本規約を変更することがあります。

  • (1)

    利用規約の変更が、利用者の一般の利益に適合するとき

  • (2)

    利用規約の変更が、契約をした目的に反せず、かつ、変更の必要性、変更後の内容の相当性、変更の内容その他の変更に係わる事情に照らして合理的なものであるとき

  当社は、規約の変更により、利用者または第三者が被ったいかなる不利益、損害について、理由を問わず一切の責任を負わないものとします。

第３条（利用者の地位およびアカウント等の管理）

• 1

  NOMON SHOPにおいて利用者は、提供される本サービスのいずれかを享受する時点において（ここにいう享受には、情報の閲覧も含みます）、本規約に合意したものとみなされ、同時にNOMON SHOPにおける利用者としての地位を得るものとします。

• 2

  利用者は、自身のアカウントおよびパスワードを安全に保つ責任を負い、また、自身のアカウントおよびパスワードを利用して行うすべての活動に対して責任を負います。
  利用者は、自身のアカウントまたはパスワードの不正使用を認識した場合には当社に通知しなければなりません。これに違反することにより発生したいかなる種類の損失または損害についても、利用者が責任を負い、当社は直接的または間接的に一切責任を負いません。

第４条（禁止事項）

利用者は、以下の各号のいずれかに該当する行為または該当すると当社が判断する行為は行ってはならないものとします。

• (1)

  NOMON SHOPが指定した方法以外の方法によって、NOMON SHOPを利用する行為

• (2)

  他者になりすまして本サービスを利用する行為

• (3)

  NOMON SHOPが認める以外の方法で、本サービスに関連するデータのリンクを、他のデータ等へ指定する行為

• (4)

  NOMON SHOPを利用するコンピュータに保存されているデータへ不正アクセスする、またはこれを破壊もしくは破壊するおそれのある行為

• (5)

  本サービスの運営を妨害する行為

• (6)

  本サービスを利用した営業活動並びに営利を目的とした利用およびその準備を目的とした利用行為（但し、当社が別途承認した場合には、この限りではありません）

• (7)

  他の利用者の個人情報を収集したり、蓄積する行為、またはこれらを試みる行為

• (8)

  公序良俗に反する行為およびその他国内外の法令に違反する行為

• (9)

  その他、当社が不適切と判断する行為

第５条（本サービスの中断、停止

• 1

  当社は以下の各号のいずれかに該当する場合、当社の独自の判断により、利用者に事前に通知することなく本サービスの一部または全部を一時中断、または停止することがあります。

  • (1)

    本サービスのための装置、システムの保守点検、更新を定期的にまたは緊急に行う場合

  • (2)

    火災、停電、天災などの不可抗力により、本サービスの提供が困難な場合

  • (3)

    コンピュータ、通信回線等の障害、過度なアクセスの集中等が生じた場合

  • (4)

    その他、運用上あるいは技術上当社が本サービスの一時中断、もしくは停止が必要であるか、または不測の事態により、当社が本サービスの提供が困難と判断した場合

• 2

  当社は、当社の都合により、本サービスの内容を変更し、または提供を終了することができるものとします。

• 3

  前項の本サービスの内容の変更または提供の終了を行う場合、当社は、利用者に対し事前に通知するものとします。

• 4

  当社は、本サービスの提供の一時中断、停止、変更または終了により、利用者または第三者が被ったいかなる不利益、損害について、理由を問わず一切の責任を負わない 　ものとします。

第6条（リンクの扱いについて）

本サービスにおいて、NOMON SHOP以外のサイトへのリンクが存在する場合、当社は、NOMON SHOP以外のサイトおよび当該サイトに包括され、また当該サイト上で利用が可能となっているコンテンツ、広告、商品、サービスなどについても同様に一切責任を負いません。
当社は、それらのコンテンツ、広告、商品、サービスなどに起因または関連して生じた一切の損害についても賠償する責任は負いません。

第7条（知的財産権）

• 1

  NOMON SHOPおよび本サービスに関する知的財産権は、全て当社または当社に使用を許諾している者に帰属しており、本規約に基づく本サービスの利用許諾は、NOMON SHOPまたは本サービスに関する当社または当社に使用を許諾している者の知的財産権の利用者に対する使用許諾を意味するものではありません。

  利用者は、権利者の承諾を得ない限り、いかなる方法においても、NOMON SHOPを通じて提供される一切の情報を、著作権法で定める利用者個人の私的使用の範囲を超える複製、販売、出版、その他の用途に使用することはできず、その他権利者の知的財産権を侵害する方法で使用することはできないものとします。

• 3

  利用者は、権利者の承諾を得ない限り、いかなる方法においても、第三者をして、NOMON SHOPを通じて提供される一切の情報を使用させたり、公開させたりすることはできないものとします。

第8条（賠償責任）

• 1

  本サービスの提供、遅滞、変更、中断、中止、停止、もしくは廃止、提供される情報等の流出もしくは焼失等、またはその他本サービスに関連して発生した利用者または第三者の損害について、当社は一切の責任を負わないものとします。

• 2

  利用者が本サービスの利用又は本規約への違反によって第三者に対して損害を与えた場合、利用者は自己の責任と費用をもって解決し、当社に損害を与えることのないものとします。利用者が本規約に違反した行為、または不正もしくは違法な行為によって当社に損害を与えた場合、当社は当該利用者に対して損害賠償の請求ができるものとします。

第9条（通知）

当社は、本規約の変更もしくは終了、または本サービスの内容の変更もしくは提供の終了にあたり、変更後の利用規約の効力発生日の1か月前までに、利用規約および本サービス内容を変更もしくは終了する旨および変更後および終了後の利用規約の内容とその効力発生日をNOMON SHOP上に掲示し、または利用者に電子メールで通知します。変更後の利用規約の効力発生日以降に利用者が本サービスを利用したときは、利用者は、利用規約の変更に同意したものとみなします。

第10条（プライバシー・ポリシー）

利用者による本サービスの利用に関連して当社が知り得る利用者の情報の管理および取扱いについては、当社が別途定めるプライバシー・ポリシーによるものとします。

第11条（反社会的勢力の排除）

• 1

  利用者は、自身が暴力団、暴力団員、暴力団関係者、総会屋その他の反社会的勢力（以下、まとめて「反社会的勢力」といいます）に所属または該当せず、かつ、暴力団等の反社会的勢力と関与していないことを表明し、将来にわたっても所属若しくは該当、又は関与しないことを確約するものとします。

  当社は、利用者が暴力団等の反社会的勢力に所属若しくは該当する、又は正当な理由なく関与していると判断した場合、当該利用者に事前に通知等を行うことなく、当該利用者の本サービスの利用を禁止する等の措置を講じることがあります。

• 3

  当社は前項の措置による利用者の損害を賠償する責任を一切負わないものとします。

第12条（準拠法）

本規約の成立、効力、履行および解釈に関しては日本国法が適用されるものとします。

第13条（合意管轄）

本規約に関して紛争が生じた場合、当社本店所在地を管轄する地方裁判所を第一審の専属的合意管轄裁判所とします。

Terms of Use

NOMON, Co., Ltd. (the “Company”) has set out these Terms of Use (“Terms”) for NOMON SHOP, which is operated by the Company, and will provide users with services, products, or functions (hereinafter collectively termed the “Services”) in accordance with these Terms. Please read these Terms carefully and agree to them before using the Services. By clicking on [Agree], you agree to be bound by these Terms.

Matters concerning the handling of users’ personal information are stipulated in the Policy on the Protection of Personal Information.

1. Definitions

In these Terms, the terminology listed below is used with the following respective meanings.

• (1)

  “NOMON SHOP” means the site operated online by the Company in accordance with these Terms, which provides the Services and carries information about it.

• (2)

  “Users” means those people who use the Services.

• (3)

  The “Services” means the services provided by the Company to Users in accordance with these Terms.

2. Scope and Alteration of the Terms

• (i)

  These Terms shall apply between the Company and Users in respect of the use of the Services; Users shall comply with these Terms in good faith in their use of NOMON SHOP.

• (ii)

  Individual provisions stipulated by the Company separately on NOMON SHOP or by other means shall constitute part of these Terms. In the event of any difference between these Terms and any individual provisions, the individual provisions shall take precedence.

• (iii)

  The Company may change these Terms at its sole discretion, without the consent of Users, under the following circumstances.

  • (1)

    When the change to the Terms of Use accords with the common interests of Users

  • (2)

    When the change to the Terms of Use is not contrary to the purpose of the agreement and is reasonable in light of the necessity of the change, the reasonableness of the content after the change, the nature of the change, and other circumstances relating to the change

• (iv)

  The Company shall not be liable for any disadvantage or damage incurred by Users or third parties for any reason whatsoever as a result of a change in the Terms.

3. User Status and Account Management, etc.

• (i)

  Users of NOMON SHOP shall be regarded as having agreed to these Terms at the point when they enjoy one of the Services provided (here, the term “enjoy” includes reading information) and shall simultaneously acquire the status of a User of NOMON SHOP.

• (ii)

  Users shall bear the responsibility for keeping their account and password safe and for all activities carried out using their account and password. Users must notify the Company if they become aware of the unauthorized use of their account or password. Users shall bear the responsibility for any loss or damage of any kind incurred as a result of violating this; the Company shall not be liable whatsoever, whether directly or indirectly.

4. Prohibited Acts

Users may not engage in any act falling under any of the following or any act deemed by the Company to fall thereunder.

• (1)

  Using NOMON SHOP by any means other than the methods designated by NOMON SHOP

• (2)

  Impersonating someone else when using the Services

• (3)

  Designating links from other data, etc. to data relating to the Services by means other than those permitted by NOMON SHOP

• (4)

  Engaging in unauthorized access to data saved on a computer using NOMON SHOP, or destroying or carrying out acts that risk destroying such data

• (5)

  Obstructing the operation of the Services

• (6)

  Using the Services for business or commercial purposes, or intended for the purpose of preparing for the same (however, this shall not apply if the Company has separately granted approval)

• (7)

  Collecting or accumulating the personal information of other Users, or attempting to do so

• (8)

  Acts contrary to public order or morality and other acts in violation of domestic and overseas laws

• (9)

  Other acts deemed inappropriate by the Company

5. Suspension or Cancellation of the Services

• (i)

  The Company may, at its sole discretion, suspend or cancel all or part of the Services without prior notice to Users in any of the following circumstances.

  • (1)

    When conducting routine or urgent maintenance checks and upgrades of equipment and systems for the Services

  • (2)

    If fire, power outage, natural disaster or another force majeure event causes difficulty in providing the Services

  • (3)

    In the event of computer or communication network malfunction, website overload, etc.

  • (4)

    If the Company deems it necessary to temporarily suspend or cancel the Services for other operational or technical reasons, or deems the provision of the Services to be unfeasible due to unforeseen circumstances

• (ii)

  The Company may alter the content of the Services or terminate their provision at its own convenience.

• (iii)

  The Company shall provide advance notice to Users when altering the content of the Services or terminating their provision under the preceding paragraph.

• (iv)

  The Company shall not be liable for any disadvantage or damage incurred by Users or third parties for any reason whatsoever as a result of the temporary suspension, cancellation, alteration, or termination of the provision of the Services.

6. Links

Where links exist in the Services to sites outside NOMON SHOP, the Company shall not be liable in any way whatsoever for those sites outside NOMON SHOP, nor for any content, advertisements, products, or services, etc. included in the sites in question or able to be used thereon. The Company shall not be liable to provide compensation for any damage caused by or associated with such content, advertisements, products, or services.

7. Intellectual Property Rights

• (i)

  All intellectual property rights relating to NOMON SHOP and the Services belong to the Company or to those who have licensed their use to the Company; permission to use the Services in accordance with these Terms should not be construed as granting Users a license to use the intellectual property rights relating to NOMON SHOP or the Services that belong to the Company or to those who have licensed them to the Company.

• (ii)

  Users may not, without the consent of the rights holders, use in any way any information provided through NOMON SHOP for duplication, marketing, publishing, or any other uses beyond the scope of the private use of individual users stipulated in the provisions of the Copyright Act, nor may they use it in a way that infringes the intellectual property rights of rights holders.

• (iii)

  Users may not, without the consent of the rights holders, allow third-party use or publication in any way of any information provided through NOMON SHOP.

8. Liability for Compensation

• (i)

  The Company shall not be liable for any damages incurred by Users or third parties in relation to the Services, including those related to the provision, delay, modification, interruption, suspension, cessation, or abolition of the Services, and in relation to the leakage or destruction of information, etc.

• (ii)

  In cases where Users cause damage to third parties by using the Services or violating these Terms, said Users shall be responsible for settling the matter at their own expense and shall not cause damage to the Company. In cases where Users cause damage to the Company by violating these Terms or through a fraudulent or illegal act, the Company may claim compensation for damages from the Users concerned.

9. Notifications

When changing or terminating these Terms, or changing the content of the Services or terminating the provision thereof, the Company shall provide notice on NOMON SHOP or notify Users by e-mail that the change or termination of the Terms of Use and content of the Services is to take place, provide details of the Terms of Use following the change or termination, and specify the effective date, at least one month before the effective date of the Terms of Use following the change. Users who use the Services on or after the effective date of the Terms of Use following the change shall be considered to have agreed to the change in the Terms of Use.

10. Policy on the Protection of Personal Information

Users’ information acquired by the Company in respect of Users’ use of the Services shall be managed and handled as described in the Policy on the Protection of Personal Information specified separately by the Company.

11. Exclusion of Antisocial Forces

• (i)

  Users affirm that they do not belong to or constitute an organized crime group, member or associate thereof, corporate extortionist, or other antisocial force (hereinafter collectively termed “Antisocial Forces”) and have no involvement with organized crime groups or other Antisocial Forces; Users shall also make a commitment not to join, constitute, or become involved with such in the future.

• (ii)

  In the event that the Company determines that Users belong to or constitute an organized crime group or other Antisocial Forces, or are involved with such without good reason, the Company may, without prior notice, etc. to the Users concerned, take steps including prohibiting the Users concerned from using the Services.

• (iii)

  The Company shall not be liable to provide compensation for damages to Users against whom it has taken the steps referred to in the preceding paragraph.

12. Governing Law

Japanese law shall apply to the formation, validity, performance and interpretation of these Terms.

13. Jurisdiction

In the event of any dispute arising in regard to these Terms, the district court with jurisdiction over the location of the Company’s head office shall be the agreed court of first instance with exclusive jurisdiction.
